These Terms of Service (“Terms”) govern your access to and use of the WaveLane Freight LLC website and any related communications or services provided through it (collectively, the “Services”). By accessing or using our Services, you agree to these Terms.
1) About WaveLane’s Role (Broker Only)
WaveLane Freight LLC (“WaveLane,” “we,” “us,” “our”) acts solely as a freight broker and transportation coordinator. WaveLane is not a motor carrier and does not operate trucks, employ drivers, or physically transport freight. Transportation services are performed by independent third-party motor carriers and other service providers.
2) Use of the Website and Services
You agree to use our Services only for lawful purposes and in a manner consistent with these Terms. You may not:
- submit false, misleading, or fraudulent information
- attempt to gain unauthorized access to the website or related systems
- interfere with website operations or security
- use the website to transport prohibited or illegal goods
3) Quotes, Pricing, and Service Details
Any pricing, rate, or quote provided by WaveLane is based on the information supplied by you or other parties (including shippers, receivers, carriers, or facility staff). Quotes may be estimated and may change due to factors such as:
- inaccurate or incomplete commodity description, weight, dimensions, or packaging
- accessorial charges (see below)
- changes in pickup/delivery requirements, appointments, or locations
- reweigh/reclass, inspections, special handling, or facility requirements
- delays, detention, layover, and similar time-based charges
- market capacity conditions and fuel-related adjustments (if applicable)
You are responsible for ensuring that all shipment details you provide are accurate and complete.
4) Accessorial Charges (Common Additional Fees)
Depending on circumstances, additional charges may apply, including but not limited to:
- Detention (delay at pickup or delivery beyond agreed free time)
- Layover (extended delay requiring the driver/carrier to wait overnight or longer)
- TONU / Truck Ordered Not Used (cancellation after a truck is dispatched)
- Redelivery / Reconsignment (change of delivery location or failed delivery requiring another attempt)
- Lumper (loading/unloading labor fees required by facilities)
- Storage / Hold (freight held due to appointment issues, receiver refusal, or documentation delays)
WaveLane may pass through these charges as billed by the motor carrier or facility, when supported by reasonable documentation (e.g., arrival/departure timestamps, facility notes, BOL/receipt records).
5) Shipper and Customer Responsibilities
If you are a shipper, customer, or broker customer, you agree that you are responsible for:
- providing accurate shipment information (commodity, weight, dimensions, packaging, value)
- disclosing special requirements, including hazmat or regulated goods (if applicable)
- ensuring pickup and delivery locations are ready and accessible
- complying with all applicable laws and regulations related to the shipment
- ensuring proper loading/unloading arrangements unless otherwise agreed
6) Carrier Responsibilities (Third-Party Carriers)
Carriers are independent contractors and are solely responsible for:
- maintaining required operating authority, insurance, and compliance
- safe operation and lawful transportation of freight
- timely status updates and documentation
- handling, custody, and control of freight while in transit
7) Communications (Email, Phone, and SMS)
By providing your contact information, you agree that WaveLane may contact you for service-related purposes, including operational updates, customer support, onboarding, and administrative messages.
SMS/Text Messaging: If you opt in to receive text messages, message frequency may vary. Message and data rates may apply. You may opt out at any time by replying STOP. For assistance, reply HELP or contact us using the information below.
WaveLane does not sell your phone number and does not use SMS for unrelated third-party marketing without your consent.
8) Third-Party Websites and Services
Our website may contain links to third-party websites or use third-party tools (e.g., carrier onboarding platforms, tracking tools, analytics). WaveLane is not responsible for third-party content, policies, availability, or practices. Your use of third-party services is governed by their terms and privacy policies.
9) Intellectual Property
All website content, logos, designs, text, and materials are owned by or licensed to WaveLane and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our materials without written permission.
10) Disclaimer of Warranties
Our website and Services are provided on an “as is” and “as available” basis. We do not guarantee that the website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of information provided through the website.
11) Limitation of Liability
To the fullest extent permitted by law, WaveLane will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, or loss of goodwill, arising from or related to your use of the website or Services.
Without limiting the foregoing, WaveLane’s total liability for any claim relating to the website or Services shall not exceed the amount paid to WaveLane for the specific Services giving rise to the claim (if any), during the three (3) months prior to the event giving rise to the claim.
12) Indemnification
You agree to defend, indemnify, and hold harmless WaveLane and its owners, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your violation of these Terms
- your shipment information being false, incomplete, or unlawful
- your misuse of the website or Services
- your violation of any law or third-party rights
13) Termination
WaveLane may suspend or terminate your access to the website or Services at any time if we reasonably believe you have violated these Terms or used the Services unlawfully. Termination does not eliminate obligations that by their nature should survive (e.g., indemnification, limitations of liability).
14) Changes to These Terms
We may update these Terms from time to time. Updates become effective when posted on this page with a new effective date. Your continued use of the website or Services after changes means you accept the updated Terms.
